Terms & Conditions of NewWind Energy® Purchase 
These are the terms and conditions governing your agreement for the delivery of Community Energy Inc.'s (CEI) NewWind Energy® to the New York power grid. This agreement is between NYSEG, CEI and you, the customer.

Background
Your purchase of CEI NewWind Energy® enables NYSEG to purchase wind generated electricity and have it delivered to the New York power (NYISO) grid and, at the same time, transfers all of the environmental attributes of the wind energy to you. Purchase of this product does not interfere with your pre-existing service from NYSEG or any other competitive electricity supplier. The cost associated with your purchase of NewWind Energy® is in addition to your current bills for electricity supply and/or delivery services.

Payment
You will be charged a monthly fee for each block (100 kilowatt-hours (kwh)) of NewWind Energy® that you purchase. Your NYSEG account will be billed monthly for this fee. In addition, you will continue to be billed by NYSEG for electricity supply and/or delivery service. However, if you purchase your electricity supply from a supplier other than your utility you will continue to be billed by them
for your electricity supply. NewWind Energy® charges are in addition to your regular electricity delivery and
supply charges.

NewWind Energy® Delivery Arrangement Service
An arrangement will be made by CEI on your behalf for the delivery of wind-generated electricity to the power grid. You will pay for each 100-kwh block of wind-generated electricity and delivered on your behalf to the power grid. Your total monthly costs for NewWind Energy® delivery will be the quantity of 100-kwh blocks you choose multiplied by the price per block. A minimum purchase of two blocks per month is required.

NewWind Energy® Certificate
At the conclusion of each year that you have been served under this agreement, we will send you a signed NewWind Energy® certificate indicating the amount of wind energy delivered on your behalf.

Limitation of Wind Supply
The production of electricity from wind varies daily and seasonally, so that the amount of wind-generated electricity supplied to the power grid may vary from month to month. In the event that sufficient wind energy generation is not available to fulfill your agreement, you will be billed a lesser amount equal to the actual amount of NewWind Energy® delivered on your behalf.

Conversion Transaction
If the electricity commodity is supplied by other than NYSEG, NYSEG will provide the customer’s electric energy supplier the rights to perform Conversion Transactions for the Wind Energy Supply Allotment, through a process administered by the New York State Public Service Commission (PSC). If your retail electric energy supplier does not accept these Conversion Transactions rights, New York State PSC rules may preclude the issuance of certificates for the wind energy provided to the grid for this agreement.

Interpretation of Contract and Assignments
This agreement will be construed according to the laws of the State of New York. You may not assign this agreement to another party without NYSEG's written consent.

Term
You will be sent a confirming letter if you order online. The term of this agreement is for one year from the date of the confirming and will continue month to month thereafter until terminated by NYSEG or you. After the first year of this agreement, you or NYSEG may terminate this agreement by giving the other party 30 days prior written notice. If you fail to make any payments when they become due, this agreement may be terminated at any time by NYSEG.

Early Termination
If you terminate this agreement before the first year has expired, you will be charged for the remaining payments under this agreement. If you move from New York State after the first six months of this agreement, you may cancel this agreement by providing NYSEG with
30 days prior written notice. You will then not be obligated to make the remaining payments under this agreement.

Right of Cancellation
Although this agreement is not subject to a mandatory right of cancellation, NYSEG voluntarily offers you the following right: You, the customer, may cancel this agreement without any penalty or obligation at any time prior to midnight of the third business day after receipt of this notice. If you cancel, any payments made by you under this agreement will be credited to your credit card account within ten business days following receipt by NYSEG of your written notice of cancellation. To cancel this agreement, mail or deliver a written notice of cancellation to NYSEG at the following address: NYSEG, Attention: Electric Marketing – Wind Program, PO Box 5224, Binghamton, New York, 13902-5224.
